Companhia Brasileira de Distribuição, doing business asGPA (formerly as Grupo Pão de Açúcar), is the biggest Brazilian company engaged in business retailing of food, general merchandise, electronic goods, home appliances and other products from its supermarkets, hypermarkets and home appliance stores owned by the French conglomerate retail group Casino. Its headquarters are in São Paulo city.[4]
The company is the second biggest retail company in Latin America by revenue and the second largest online retailer in Brazil. The company operates its e-commerce through Cnova Brasil, a subsidiary of its subsidiary Viavarejo.
In a securities filing, GPA said all Exito shareholders would have between Oct. 19 to accept the takeover bid by Sendas Distribuidora SA, a GPA subsidiary, at a price of 18,000.
For 2013, the company planned to open more than 150 stores, targeting northeast and mid-west regions.[5]
In September 2013, Abílio Diniz, the son of the company's founder, has stepped down as chairman of the company.[6]
- GPA will use cash to acquire all shares in Almacenes Exito with a potential purchase price of 16,000 to 18,000 Colombian pesos ($5.03 to $5.66) per share. Casino would acquire all controlling.
- Groupe Casino has unveiled an improved offer for Exito’s 50% stake in Brazil’s GPA, which are indirectly held through French company Segisor. Casino had initially made an offer in July, as part of its plans to simplify its corporate structure in Latin America.

PARIS (Agefi-Dow Jones)--Le distributeur Casino a annoncé vendrediavoir franchi une nouvelle étape en vue de la simplification de sastructure en Amérique latine grâce à l'obtention des autorisationsnécessaires au lancement par Grupo Pao de Açucar (GPA), sa filialebrésilienne, d'une offre d'achat sur 100% du capital d'Exito, safiliale colombienne.
L'assemblée générale extraordinaire des actionnaires d'Exito ainsique son conseil d'administration ont approuvé jeudi le lancementpar GPA d'une offre publique d'achat (OPA) exclusivement ennuméraire sur Exito. Le projet prévoit également l'acquisition parCasino des actions détenues par Exito dans Segisor, elle-mêmedétenant directement et indirectement 99,9% des droits de vote et37,3% des droits économiques dans GPA.
En conséquence, Casino a signé un accord avec GPA en vertu duquelle distributeur brésilien lancera, par l'intermédiaire de safiliale à 100% Sendas, une OPA en numéraire sur l'intégralité desactions Exito, à laquelle Casino apportera la totalité de saparticipation (55,3% du capital). Selon un communiqué diffusé jeudipar GPA, Sendas déposera sa demande d'OPA sur Exito auprès desautorités financières colombiennes 'dans les prochains jours'.
Casino a par ailleurs indiqué avoir signé avec Exito un contratselon lequel il s'engage à acquérir les actions détenues par Exitodans Segisor. La réalisation de ce contrat d'acquisition d'actionsconclu avec Exito est subordonnée au succès de l'OPA de GPA surExito.
A l'issue de l'ensemble de ces opérations financières, probablementcourant 2020, Casino possédera 41,4% de sa filiale GPA quideviendra elle-même l'actionnaire de contrôle d'Exito et de sesentités en Uruguay et en Argentine.
